(hereinafter referred to as “Supplier”)
- PURPOSE
This Agreement governs the terms under which the Supplier lists and rents vehicles through the Liberta Car Rental Marketplace platform.
- NATURE OF RELATIONSHIP
- The Supplier operates as an independent contractor
- Nothing in this Agreement creates:
- Employment
- Partnership
- Joint venture
👉 Supplier is fully responsible for its own operations, vehicles, and legal obligations.
- VEHICLE LISTING & COMPLIANCE
The Supplier agrees that all vehicles:
- Are legally registered and roadworthy
- Have valid:
- Insurance
- Road tax
- Registration documents
- Are maintained in good condition
- Meet Liberta quality standards
- INSURANCE & LIABILITY
Supplier Responsibility
The Supplier must provide:
- Comprehensive all-risk insurance
- Clear insurance excess terms
Liability
- The Supplier is fully responsible for:
- Vehicle condition
- Insurance validity
- Any legal claims related to the vehicle
👉 Liberta acts as a facilitator only and is not liable for vehicle-related damages.
- LIBERTA PREMIUM COVERAGE (SCDW)
Where applicable:
- Supplier agrees to follow Liberta’s standardized SCDW structure
- Supplier may NOT:
- Modify coverage terms
- Add hidden charges
- Refuse valid claims under SCDW
👉 Liberta retains full authority over SCDW policy.
- PRICING & PAYMENTS
Pricing
- Supplier sets base rental price
- Must be:
- Accurate
- Transparent
- Updated regularly
Payments
- Liberta may collect payments from customers
- Supplier will receive payout:
- After rental completion
- Less agreed commission
- COMMISSION
- Liberta charges a commission per booking
- Commission rate: _______%
👉 Commission structure may be updated with written notice.
- BOOKING MANAGEMENT
Supplier must:
- Accept confirmed bookings
- Avoid double bookings
- Maintain accurate availability calendar
Failure may result in penalties or suspension.
- DELIVERY & CUSTOMER EXPERIENCE
Supplier agrees to:
- Deliver vehicle on time
- Follow Liberta delivery standards
- Maintain professional communication
👉 Supplier represents Liberta brand during customer interaction.
- INCIDENT MANAGEMENT
In case of accident or issue:
- Supplier must:
- Respond immediately
- Provide photos and reports
- Cooperate with Liberta
Failure to comply may result in liability.
- PERFORMANCE & QUALITY CONTROL
Liberta may monitor:
- Customer reviews
- Service quality
- Vehicle condition
👉 Liberta reserves the right to:
- Suspend listings
- Remove Supplier from platform
- PROHIBITED PRACTICES
Supplier shall NOT:
- Add hidden charges
- Misrepresent vehicle condition
- Bypass Liberta platform to deal directly with customers
- Offer inconsistent pricing outside the platform
- NON-CIRCUMVENTION CLAUSE
Supplier agrees not to:
👉 Contact or transact directly with customers introduced by Liberta
👉 Bypass the platform to avoid commission
Duration: 12 months after last booking
Violation may result in:
- Immediate termination
- Financial penalties
- PAYMENT TERMS
- Payouts are processed after:
- Rental completion
- No disputes pending
- Liberta reserves the right to:
- Hold payment in case of dispute
- Deduct penalties if applicable
- TERM & TERMINATION
Duration
This Agreement remains valid until terminated.
Termination
Either party may terminate with 7 days written notice
Immediate termination may occur in case of:
- Breach of contract
- Fraud or misconduct
- Repeated poor service
- LIMITATION OF LIABILITY
Liberta shall not be liable for:
- Vehicle damage
- Accidents
- Loss of income
- Customer disputes
👉 Supplier bears full operational responsibility.
- FORCE MAJEURE
Neither party shall be liable for failure due to:
- Natural disasters
- Government restrictions
- Events beyond control
- CONFIDENTIALITY
Both parties agree to:
- Keep business information confidential
- Not disclose sensitive data
- GOVERNING LAW
This Agreement is governed by the laws of Mauritius
Any disputes shall be resolved in Mauritian courts.
